【简介】：
议定书，属于涉外契约文书的一种。它主要用于国家间就某些专门问题已达成的书面协议的条款进行修改、解释或补充达成的具体协议。虽然是带有辅助性或补充性，但具有独立性质。它有时也用于国际间某些重要问题或某项较为次要的具体事项的协议。议定书是涉外契约文书中使用频率较高的文种之一。
议定书一般由三部分组成：
(一)标题 议定书的标题一般有三种写法：一种是写“议定书”三个字；另一种是由缔约双方名称、事由和文种组成；还有一种是缔约双方名称、协议期限、事由和文种组成。
(二)正文 正文一般包括三个组成部分：前言、主体、结尾。前言写签订议定书的依据、目的，并用习惯用语“签订本议定书，条文如下”或“达成协议如下”等承上启下；主体写议定书的具体内容条文；结尾写议定书的生效日期、签订日期、份数、文本等。
(三)签署 写国家名称、职务、姓名。要双方代表亲笔签字。
【范例】：
议定书
值此中华人民共和国政府和泰王国政府关于促进和保护投资的协定签字之际，双方授权代表议定如下各项，作为本协定的组成部分：
一、(一)关于本协定第六条第一款和第三款所述的自由转移，在中华人民共和国方面，应依照中华人民共和国的外汇管理法律和法规，从泰王国国民和公司的外汇存款帐户或从由泰王国国民或公司在中华人民共和国领土内单独或者共同投资的企业的外汇存款帐户中转移。
(二)若上述外汇存款帐户中的外汇不够转移，属下列款项，应由中华人民共和国政府主管机关提供将当地货币兑换为可自由兑换的货币所需要的外汇以实现向境外的转移：
(1)本协定第六条第一款第(二)、(四)、(六)、(七)项所述的款项；
(2)本协定第六条第一款第(三)项所述的款项，业经中国银行担保的；
(3)本协定第六条第一款第(一)和(五)项所述的由泰王国国民和公司在中华人民共和国领土内单独或者共同投资的企业中获得的款项，而该企业已经中华人民共和国政府主管机关专项批准主要在中华人民共和国领土内销售其产品或提供服务的。
(三)关于本协定第六条第一款第(一)、(三)和(五)项所述的款项转移，如果中华人民共和国的法律和法规有比上述规定更为优惠的规定，应适用于在中华人民共和国投资的泰王国国民和公司。
(四)若本协定第六条第一款第(一)、(三)和(五)项所述的款项转移遇有困难，在中华人民共和国投资的泰王国国民和公司可以向中华人民共和国政府主管机关申请，上述主管机关将给予最善意的考虑并提供可能的帮助。
二、(一)关于本协定第六条第一款和第三款所述的自由转移，在泰王国方面，应依照泰王国的法律和法规以及其作为国际货币基金组织成员相一致的权利和义务进行。
(二)上述第二款第(一)项所述的转移，应根据泰王国政府主管机关的考虑在互惠的基础上进行，而泰王国政府主管机关将对中华人民共和国国民和公司的每项转移给予最善意的考虑以便提供优惠待遇。
由各自政府正式授权的签署人在本议定书上签字，以资证明。
本议定书于1985年，佛历2528年3月12日在曼谷签订，一式2份，每份都用中文、泰文、英文写成，3种文本具有同等效力。

苏丹民主共和国政府贸易议定书
1978年1月1日至1979年6月3日
中华人民共和国政府和苏丹民主共和国政府根据1962年5月23日签订的中华人民共和国政府和苏丹共和国政府贸易协定，为了在平等互利的基础上进一步促进两国的贸易关系，达成协议如下：
第一条
中华人民共和国政府保证在1978年1月1日至1979年6月30日执行关于本议定书规定的进口6600万美元的苏丹商品，苏丹民主共和国政府保证在同期内执行本议定书规定的进口等价的中国商品。中国出口商品的项目见附表(乙)，苏丹出口商品的项目见附表(甲)。
第二条
中国商品和苏丹商品将以美元或任何其他可兑换的货币支付。各该项商品的价格根据当时在主要市场的国际价格由买卖双方协商确定。
第三条
苏丹民主共和国政府保证发给为进口本议定书附表(乙)所列中国商品所需的全部许可证。附表(甲)和附表(乙)所列商品的品种，如需要，可由双方协商在总金额内进行调整。附表(甲)和附表(乙)所列商品，将由中国国营对外贸易机构同苏丹公共部门和进出口商签订合同执行。
第四条
双方将在本议定书期满前检查本议定书的执行情况，并将采取必要措施，以保证本议定书进出口金额的平衡。
第五条
本议定书对两国间根据1962年5月23日签订的中华人民共和国政府和苏丹共和国政府贸易协定进行的正常贸易并无限制之意。
本议定书于1978年9月20日在北京签订，共2份，每份都用中文、阿拉伯文和英文写成，3种文本具有同等效力。

体育合作议定书
为进一步发展和加强两国体育合作，中华人民共和国体育运动委员会和××国政府×××部经友好协商，同意××××年双方进行如下体育交流活动：
一、中方派遣，×方接待
1．女子曲棍球队20人参加××××年××××国际金杯赛。
2．乒乓球、羽毛球教练各1人赴××国国家体育学院任教。
3．游泳教练、跳水教练、艺术体操教练、竞技体操教练各1名赴××国执教两年。
二、×方派遣，中方接待
1．××国专家和教师8人考察中小学体育活动10天。
2．××国专家3人参观兴奋剂检测中心10天。
三、双方同意交换在本国举行的重大体育比赛的录像带和其他此类有关材料。关于这类资料的细节将另行商定。
四、双方同意本协定书依照如下总则和财务条款执行：
1．双方将至少提前两个月通知对方去访的体育团队和教练的确切日期。
2．派遣一方负担体育团队至目的地的往返国际旅费。接待一方负担食宿、当地旅行和交通费用，提供健康照顾并支付来访运动员每人每天相当2美元的当地货币的零用金。
3．互换教练的经费条件按照两国有关机构签订的合同执行。
4．中方派出的教练最好会英语。
5．本议定书不排除其他双方认为有用并商定的活动。在此情形之下，新的交流计划应提前至少60－90天通知对方。

(1)eight experts／teachers to study sports activities in primary and middle schools for ten days；
(2)three doctors to visit the Doping Control Centre for 10 days．
3．The two sides shall exchange video tapes and other materials of major sports events held in their respective countries．Specifics regarding the materials shall be agreed upon through diplomatic channels．
4．This Protocol shall be implemented under the following guidelines and financial arrangements：
(1)Either side shall inform the other side of the exact date for the visit of its sports teams／delegations and coaches at least two months in advance；
(2)The sending country shall bear the expenses of international travel of its sports teams／delegations to and from the place of visit．The receiving country shall cover the expenses of board and lodging，local travel and transport，provide health care，and pay pocket money equivalent to US$2 per person per day to the athletes in the currency of the host country；
(3)The financial arrangements for the exchange of coaches shall be made in accordance with contracts signed between the relevant authorities of the two countries；
(4)The coaches from China shall preferably be Englishspeaking；
(5)This Protocol does not exclude other exchange programmes as may be mutually considered useful and agreed upon．If a new exchange programme is to be discussed，the proposal shall be communicated to the other side 60－90 days in advance．

中华人民共和国体育运动委员会

派遣体操教练的议定书
中华人民共和国体育委员会(简称中方)和××国××××部(简称×方)经过友好商谈，决定签订如下协议：
一、应×方的邀请，中方将派男女体操教练各一名，翻译一名，于××××年×月赴××国培训××国国家男、女体操队，时间从抵达之日算起。
二、中国教练负责制定培训计划，并与×方有关方面协商一致后付诸实施。
三、×方将向教练和翻译提供如下条件：
1．提供中国—××国—中国的机票和支付离职回中国时每人40公斤的行李超重费。
2．支付教练每人每月生活费(包括伙食费和零用费)××××国货币，翻译××××国货币。上述费用，将按当日牌价以×币支付50%，以美元支付50%，从抵达之日支付到离境之日为止。第一个月的费用，在到达××国之日发给；从第二个月开始，每月1日支付。
3．免费提供配有如水、电、家具、卧具、冷气、电视、电话、冰箱、厨房、炊具、餐厅、浴室等日常生活必需设备的一套房子。
4．免费提供工作及生活所必需的小汽车、燃料及维修费。
5．支付包括看病、住院等一切开销在内的保险费。
6．支付教练、翻译一切有关税收。
7．一切为进行工作的便利条件。
四、在××国期间，中国教练和翻译在业务方面从属于×方的领导。在法定的休息时间内，中国教练和翻译从事感兴趣的其他业务活动，经×方有关领导同意后，其报酬由教练、翻译直接与有关方面商定。
五、工作时间暂定两年。期满一年，回国休假一个月，机票由×方负担，并提供假期的生活费用。期限不满两年或延长服务，应提前三个月通知另一方。

The Commission for Physical Culture and Sports of the People’s Republic of China(hereinafter referred to as“the Chinese side”)and the Ministry of… of…(hereinafter referred toas“the…side”)have，through friendly consultations，agreed as follows：
1．At the invitation of the…side，the Chinese side shall send two gymnastics coaches(one man and one woman)and an interpreter to…(country)on…(date)to instruct the…men’s and women’s national gymnastics teams respectively．The term of service shall start from the date of their arrival．
2．The Chinese coaches shall work out a training programme and put it into effect after reaching agreement with the…side．
3．The…side shall
(1)bear the cost for one China-…(country)－China round trip air ticket and for40kilogrammes of excess luggage for each when returning to China upon completion of his／her services；
(2)pay，from the date of arrival to the date of departure，…(amount of money)permonth to each coach and…(amount of money)to the interpreter as living allowances(including board and pocket money)．50%of the allowances shall be paid in…(currency)at the exchange rate of the day of payment and the other 50% in U．S．dollar．The allowances for the first month shall be paid at the date of arrival in…(country)and for the second month onwards on the first day of each month．
(3)provide，free of charge，a flat furnished with such basic facilities as water，electricity，furniture，bedding，air conditioner，TV set，telephone，refrigerator，kitchen，utensils，dinning room and bathroom；
(4)provide，free of charge，a car(cars)and fuel essential to their work and livelihood，and the maintenance cost；
(5)pay the insurance premiun covering all expenses including those of medical treatment and hospitalization；
(6)pay all the taxes for coaches and the interpreter；
(7)provide all the necessary facilities for their work．
4．During their stay in…，the Chinese coaches and interpreter are subj ect to the guidanceof the…side in their professional work．With the consent of the person in charge of the… side，the Chinese coaches and interpreter may engage in other professional activities to their interest on statutory holidays．The honorarium for these activities shall be fixed through discussion between the coaches and interpreter and the authorities concerned．
5．The term of service is tentatively fixed at two years．After serving for one year，the Chinese coaches and interpreter shall have a one-month-long home leave．The…side shall pay for the return air ticket as well as living allowances during their home leave．Either side shall notify the other side three months in advance should it intend to terminate the service before the expiry of two years or extend the term．
